Terms of Service

Welcome to On-Call Manager. These Terms of Service ("Terms") govern your use of the On-Call Manager platform and services (the "Service") operated by On-Call Manager ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Account Terms

You must be at least 18 years old to use this Service. You are responsible for maintaining the security of your account and password. We cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.

One person or legal entity may maintain no more than one free account. You may not use the Service for any illegal or unauthorised purpose.

2. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to promote illegal activities
  • Attempt to gain unauthorised access to the Service or its related systems
  • Transmit viruses, malware, or any code of a destructive nature
  • Use the Service to send unsolicited communications (spam)
  • Impersonate another person or entity
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to reverse-engineer any aspect of the Service
  • Use the Service to store or transmit content that infringes intellectual property rights

3. Service Availability

We strive to maintain high availability of the Service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of any significant changes.

4. Billing Terms

Free Plan: The free tier is provided at no cost with limited features (up to 5 members, 1 schedule, 1 escalation policy).

Pro Plan: The Pro plan is billed monthly at the per-user rate displayed at the time of subscription. Payments are processed by Stripe and are non-refundable except as required by law.

Trials: We may offer a free trial of Pro features. At the end of the trial period, your account will revert to the Free plan unless you subscribe. No payment details are required for trials.

We reserve the right to change our pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

5. Data Ownership

You retain all rights to the data you submit to the Service. We do not claim ownership of your content. You grant us a limited licence to use, store, and process your data solely for the purpose of providing the Service.

6. Termination

You may cancel your account at any time by contacting us at [email protected]. Upon cancellation, your data will be retained for 30 days before permanent deletion, unless you request immediate deletion.

We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity of the violation. In case of termination for cause, no refund will be provided.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ON-CALL MANAGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless On-Call Manager, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

9. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
